Terms & Conditions for the Use of Component.app

Introduction

These terms of service ("Terms") shall serve as your agreement with Component.app Pte Ltd ("Component.app" or "We" or "Us") and shall apply to your access, and use of our websites, or application generated from https://component.app, or any other websites that We may later own or operate (each, a "Site", and collectively, the "Sites"), our plugins, extensions or builder ("Platform"), our application program interfaces ("APIs"), and our collaboration tools and other products and services We may later own or operate (collectively, with the Sites, Platform, APIs, the "Services").

These Terms shall apply and be interpreted as an integral part of all the transactions assisted through usage of the Services. By using and accessing the Services available therein, you acknowledge that you have read, understood, accepted, and agree to be bound by these Terms.

PLEASE READ THESE TERMS CAREFULLY AS THEY CONSTITUTE A LEGAL AGREEMENT BETWEEN YOU AND Component.app.

1. Agreement to these Terms

You agree that the provisions, disclosures, and disclaimers set forth herein are fair and reasonable, and that your agreement to follow, and be bound by these Terms is voluntary, and is not a result of fraud, duress, or undue influence exercised upon you by Component.app, or any person or entity. If you are accessing and using the Services on behalf of an organization or corporation (e.g. your employer), you represent and warrant that you have the authority to bind that organization or corporation to these Terms. In that case, "you" and "your" refer to that organization or corporation.

2. Changes to the Terms

Component.app reserves the right to amend, change, add, or modify the Terms from time to time with prior notice before the implementation of such changes to the Terms. You are strongly recommended to regularly review and read these Terms. If you do not agree with the Terms, please do not use and/or avail of the Services. Your continued access or use of the Services after the posting, or notice of such amendments, modifications, and/or updates confirms your acceptance, and consent to be bound by the Terms, as amended. We may also change or discontinue all or any part of the Services, at any time and without notice or liability, at our sole discretion.

3. Account Terms

Creation of Account

To register for and create a Component.app account, you must provide us with a valid email address and other information required by us. As part of the registration process, you will identify an administrative username and password for your Component.app account.

You must be a human to create an account. Accounts registered by "bots" or other automated methods are not permitted. By utilizing/using and accessing the Services, you represent that you are of such age, and of sound mind to form a legally binding contract with Component.app in accordance with applicable law.

You agree that you will not choose or use an email address or username that (a) belongs to another person or is used with the intent of impersonating another person, or (b) is subject to any rights of a person other than you without appropriate authorization.

You are responsible for maintaining the confidentiality of the password and account, and for all activities that occur under your account. In consideration of the use of the Component.app Services, you agree to maintain and update true, accurate, current, and complete information. Component.app SHALL NOT BE LIABLE FOR ANY ERRORS OR OMISSIONS IN RELATION TO ANY INFORMATION INPUTTED BY YOU.

Your email address or username, and unique password are personal to you, and you are solely responsible for maintaining the confidentiality, and use of your account, email address or username, unique password, and/or log-in details.

YOU HEREBY ACKNOWLEDGE THAT COMPONENT.APP SHALL NOT BE LIABLE FOR YOUR CHOICE OF USERNAME AND/OR ANY LIABILITIES ATTACHED THERETO. COMPONENT.APP IS NOT LIABLE FOR ANY HARM CAUSED, OR RELATED TO THEFT, OR MISAPPROPRIATION OF YOUR USERNAME, UNIQUE PASSWORD, AND/OR LOG-IN DETAILS, DISCLOSURE OF YOUR USERNAME, AND UNIQUE PASSWORD.

You agree that by creating a Component.app account, you are consenting to the acceptance, use and storage by Component.app of your personal information, including, but not limited to, name, email address, identification details, and such other information as may be required by Component.app which is/are necessary to verify and/or enable your access to the Services.

You shall be responsible for all communications made by you and/or transactions assisted by you using your account and log-in details. Component.app shall not be responsible or liable for any loss, damage, cost, expenses, or liabilities arising as a result of, or in connection with the wrongful or fraudulent use of your Component.app account.

Account Security

You are responsible for keeping your account secure while you use our Services.

You are responsible for all user generated content posted and activity that occurs under your account (even when content is posted by others who have accounts under your account).

You are responsible for maintaining the security of your account and password. Component.app cannot and will not be liable for any loss or damage from your failure to comply with this security obligation.

You will promptly notify Component.app by contacting Us via email at contact@component.app if you become aware of any unauthorised use of, or access to, our Services through your account, including any unauthorised use of your password or account.

We may restrict, suspend, or terminate your account, if We reasonably believe that:

• someone other than you is using your account; or
• where you are suspected, or discovered to have been involved in any activity, or conduct that is in breach of these Terms, our policies and guidelines, or involved in activity or conduct which We deem, in our sole discretion, to be an abuse of the Services.

Account Controls

Subject to the Terms, you retain ultimate administrative control over your account.

The "owner" of an organization that was created under these Terms has ultimate administrative control over that organization and the content within it. Within the Services, an owner can manage user access to the organization's data and projects. If you are the owner of an organization under these Terms, We consider you responsible for the actions that are performed on or through that organization.

4. Termination and Cancellation

Account Cancellation

It is your responsibility to properly cancel your account with Component.app, if you choose to do so. To cancel your account, you will need to email us at contact@component.app.

Upon Cancellation

Subject to us retaining and using your information as necessary to comply with our legal obligations, resolve disputes, and enforce our agreements, We will delete your full profile and your user generated content within a reasonable time period or upon your request, within 30 days from the date of cancellation (though some information may remain in encrypted backups). This information and any user generated content cannot be recovered once your account is cancelled.

Upon request, We will make a reasonable effort to provide you with a copy of your lawful, non-infringing account contents after account cancellation, termination, or downgrade. You must make this request within 30 days of cancellation, termination, or downgrade. Unless with such request, We may remove or delete your user generated content within a reasonable period after the termination or cancellation of Services or your Component.app account.

We will not delete content that you have contributed to other users or that other users have created.

Component.app's Right of Termination

Component.app shall have the right to terminate your Subscription, based on its sole discretion, and to delete your account, and/or to suspend your access to the Services, if there is:

• violation of any provision of these Terms;
• provision of false information and misrepresentation on your creation of the account;
• unauthorized use of the Services;
• conviction of any felony related to fraud, even if discovered thereafter by Component.app after your account has been created, verified, and approved;
• any existing legal impediment, even if discovered thereafter by Component.app after your account has been created, verified, and approved.

Accordingly, your use of, and access to the Services shall be denied upon termination or suspension of your account.

COMPONENT.APP RESERVES THE RIGHT TO REMOVE YOUR ACCOUNT AND TERMINATE YOUR SUBSCRIPTION AT ANY TIME IF IT DEEMS THAT YOU ARE NOT COMPLIANT WITH ITS POLICIES, RULES AND/OR ITS STANDARDS, OR YOU ARE INVOLVED IN ANY CIRCUMSTANCE WHICH MAY ENDANGER, DAMAGE OR ADVERSELY EFFECT Component.app. ACTUAL DAMAGE IS NOT A REQUIREMENT BEFORE Component.app MAY REMOVE YOUR ACCOUNT OR TERMINATE YOUR SUBSCRIPTION.

We may terminate your access to and use of the Services, at our sole discretion, at any time and without notice or liability to you.

Upon any termination, discontinuation, or cancellation of Services or your Component.app account, the following provisions of these Terms will survive: Account terms, Charges and payment (to the extent you owe any fees at the time of termination); provisions related to Usage Data and user generated content; Representations and warranties; Limitations of liability; Intellectual property, Termination; and the Miscellaneous provisions. Furthermore, We may remove or delete your user generated content after the termination or cancellation of Services or your Component.app account as soon as it is reasonable to assume that the purpose(s) for which We collected your user-created contents and the retention is no longer necessary for legal or business purposes.

5. Representations and Warranties

You acknowledge and agree that the contents on the Services are provided on an "as is" and "as available" basis, and that your use of or reliance upon the Services and any content or services accessed or obtained thereby is at your sole risk and discretion.

While Component.app makes reasonable efforts to ensure the provision of the Services We offer, are available at all times, We do not warrant that use of the Services will be error-free or fit for all purposes, or that the server that makes it available are free of viruses or technical anomalies, or the continuous, uninterrupted, or error-free operability of the Services, or your compatibility with your computer browser or any other party of your computing systems. Technical factors such as bandwidth, network configurations, and computer browser settings can affect the speed and accessibility.

However, Component.app shall ensure the maintenance of the Services for continuous functionality. Please expect temporary interruptions of the Services due to scheduled or regular system maintenance work, downtimes attributable to internet or electronic communications, or events of force majeure.

You acknowledge that Component.app has no relationship with you other than to make available the operation and utilization of the Services.

6. Privacy Policy

Please refer to https://component.app/privacy-policy, which forms part of these Terms. You agree that by having read and consent to these Terms, you agree, acknowledge and accept the terms of Component.app Privacy Policy.

7. Limitation of Liability

By accepting these Terms, you agree to release Component.app from any liability whatsoever, and waive your right to make any claim against it with regard to matters arising from your use of information from any third party, or your use of any third-party website.

Component.app shall not be liable for any delays, failures, errors, omissions, or loss of transmitted information, viruses, or other contamination or destructive properties transmitted to you or your computer system and/or device due to access to the Services.

Component.app shall not be held liable for any failure or delay in performing the Services or any of its obligations under these Terms where such failure arises as a result of any act or omission, which is outside of its control, such as all overwhelming and unforeseen events caused directly and exclusively by force majeure that can be neither anticipated, nor controlled, nor prevented by the exercise of prudence, diligence, and care, including but not limited to: war, riot, civil commotion, compliance with any law or governmental order, rule, regulation or direction, acts of third parties, enforcement of area lockdowns and forced road and establishment closures by the government and private entities, pandemics, inclement weather, and other natural disasters.

NEITHER COMPONENT.APP NOR ANY OTHER PARTY INVOLVED IN CREATING, PRODUCING, OR DELIVERING THE SERVICES ("SUPPLIERS") WILL BE LIABLE FOR ANY INCIDENTAL, SPECIAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA OR GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE, SYSTEM FAILURE, OR THE COST OF SUBSTITUTE SERVICES ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR FROM THE USE OF OR INABILITY TO USE THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT COMPONENT.APP HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

IN NO EVENT WILL COMPONENT.APP OR SUPPLIERS' TOTAL LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR FROM THE USE OF OR INABILITY TO USE THE SERVICES EXCEED THE AMOUNTS YOU HAVE PAID TO COMPONENT.APP IN THE PRECEDING THREE MONTHS FOR THE SERVICES, OR IF YOU HAVE NOT HAD ANY SUCH PAYMENT OBLIGATIONS, ONE HUNDRED SINGAPORE DOLLARS (S$100).

Component.app shall not be held liable in the event of unauthorized use or breach of your computer or server security, or similar acts committed by third parties.

Component.app reserves the right to block or refuse future Service/s to you when there is reasonable belief that fraud is committed, or when the transaction involved fraud, or attempt to commit fraud.

EACH PROVISION OF THESE TERMS THAT PROVIDES FOR A LIMITATION OF LIABILITY, DISCLAIMER OF WARRANTIES, OR EXCLUSION OF DAMAGES IS TO ALLOCATE THE RISKS OF THESE TERMS BETWEEN THE PARTIES. THIS ALLOCATION IS REFLECTED IN THE PRICING OFFERED BY COMPONENT.APP TO YOU AND IS AN ESSENTIAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN THE PARTIES. EACH OF THESE PROVISIONS IS SEVERABLE AND INDEPENDENT OF ALL OTHER PROVISIONS OF THESE TERMS. THE LIMITATIONS IN THIS SECTION 8 WILL APPLY TO THE MAXIMUM EXTENT NOT PROHIBITED BY LAW AND NOTWITHSTANDING THE FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY IN THESE TERMS.

9. Intellectual Property

The Services and all materials provided therein, including the software, HTML code, script, text, artwork, photographs, video, and audio ("Materials") are protected by the applicable copyright laws and/or intellectual property laws. No right, title, or interest in the Services shall be conveyed to you. You may not copy, reproduce, publish, transmit, distribute, perform, display, post, modify, create derivative works from, sell, license, or otherwise exploit the Services or any of its Materials without the written consent of Component.app. You may also not access or use the Services for any competitive or commercial purpose. You may not use, copy, reproduce, republish, upload, post, transmit, distribute, or modify these Materials in any way without our prior express written consent. You are not allowed to copy any of the Materials herein. Any unauthorized copying, alteration, transmission, performance, display or other use of these Materials is prohibited. For the avoidance of doubt, Materials as defined herein shall not include the code being generated by Us from your designs.

Component.app shall retain exclusive interest in and ownership of its intellectual property and nothing in these Terms will function to transfer any of its intellectual property rights to you.

10. Acceptable Use

Compliance with Laws and Regulations

You are responsible for using the Services in compliance with all applicable laws and regulations. You will not use the Services in any manner that would violate any export controls or sanction laws or regulations or cause Component.app to violate such laws or regulations.The Platform and related services are primarily designed for and offered to users located in Singapore. We operate our services in accordance with the laws and regulations of Singapore, including applicable data protection requirements. While the Platform may be technically accessible from other jurisdictions, such access is incidental and the Platform is not specifically targeted at users outside Singapore. Users who choose to access or use the Platform from other locations do so on their own initiative and are responsible for compliance with local laws and regulations as applicable.

Conduct Restrictions

While using the Services, you must not:

• access or use the Services in a manner intended to avoid incurring Subscription Fees or pay-as-you-go fee owed (e.g. by suppressing user count by downgrading users immediately before a billing or true-up event and re-upgrading the same users promptly thereafter);
• act in mala fide or bad faith;
• scrape, data mine, or except as explicitly permitted by publicly available Component.app APIs, access Component.app or Component.app content (including third party content made available through Component.app ) programmatically;
• use a third party's content without their permission (e.g., use stolen content);
• deceive or mislead any person, including by indication, that any AI output was solely human generated or modify, tamper with, remove, obscure, or otherwise alter any metadata, digital signatures, or watermarks that identify AI output as generated using a generative artificial intelligence model;
• damage, disable, override, interfere with, or circumvent any aspect of the Services (including any safety, integrity, or privacy filters, instructions, controls, safeguards, or other mechanisms offered by, as part of, or with the Services);
• use the Services to compete with Component.app , or copy any ideas, features, functions, or graphics of the Services;
• distribute any unwanted communication (e.g., using the Services to send spam);
• use the Services for activities where use or failure of the Services could lead to death, bodily injury, damage to personal property, or environmental damage;
• use the Services in a way that causes, or is intended to cause, bias, harm, or discrimination against an individual or to make solely automated decisions about individuals which could have a legal or similarly significant effect;
• use Component.app AI features in a manner that violates any third-party provider policies;
• interfere with the Services operation (e.g., by exceeding or trying to exceed load specifications or by using the Services to generate synthetic data) or anyone else's use of the Services;
• test, penetrate, or scan the Services for security vulnerabilities or limitations, other than in compliance with our bug bounty program;
• impersonate anyone or misrepresent your connection with any person or entity or when posting contents;
• modify, or use anything that modifies, Component.app code or code execution;
• harvesting or otherwise collecting information about others, including e-mail addresses, without their consent;
• use the Services in a manner that is intended to avoid applicable international sanctions in respect to an individual or organisation;
• harass, threaten, stalk or abuse any person while accessing to the Services;
• encourage other people to engage in any of the restricted or prohibited activities as described above.

Further, you will not, and will ensure your employees and other persons associated with your Component.app account do not, and will not encourage or assist third parties to (a) reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, object code, or underlying structure, ideas, know-how, or algorithms relevant to the Services (except to the extent that such a restriction is not permitted under applicable law), (b) provide, sell, resell, transfer, sublicense, lend, distribute, rent, or otherwise allow others to access or use the Services, (c) copy, modify, create derivative works of, or remove proprietary notices from the Services, or (d) circumvent any technical limitations implemented by Component.app.

Content Restrictions

You must not upload or publish to the Services, or use the Services to distribute or create, anything that:

• infringes the intellectual property rights, privacy rights, publicity rights, trade secret rights, or any other rights of any party;
• involves telephone numbers, street addresses, or last names of any person;
• URLs to external websites or any form of HTML or programming code;
• is or includes sensitive information subject to regulation or protection under applicable law, or financial information (including but not limited to, credit and debit card information);
• may be "spam," as determined by Component.app in its sole discretion;
• is unlawful, obscene, defamatory, threatening, harassing, abusive, slanderous, hateful, or embarrassing to any other person or entity as determined by Component.app in its sole discretion or pursuant to local standards;
• constitutes cyber-bullying, as determined by Component.app in its sole discretion;
• is malicious or destructive, such as software viruses, worms, trojan horses, spyware, dishonest adware, scareware, crimeware, or any other malicious or destructive software of programs;
• depicts any dangerous, violence, life-threatening, or otherwise risky behavior;
• encourage other people to engage in any prohibited or restricted activities as described above.

COMPONENT.APP RESERVES THE RIGHT BUT IS NOT OBLIGATED TO DO ANY OR ALL OF THE FOLLOWING: INVESTIGATE AN ALLEGATION THAT ANY INFORMATION INPUTTED DOES NOT CONFORM TO THESE TERMS AND DETERMINE IN ITS SOLE DISCRETION TO REMOVE OR REQUEST THE REMOVAL OF THE INFORMATION; REMOVE INFORMATION WHICH IS ABUSIVE, ILLEGAL, OR DISRUPTIVE, OR THAT OTHERWISE FAILS TO CONFORM WITH THESE TERMS; SUSPEND OR TERMINATE YOUR ACCESS TO THE SERVICES, OR YOUR ACCOUNT UPON ANY BREACH OF THESE TERMS; MONITOR, EDIT, OR DISCLOSE ANY CONTENT, AND EDIT OR DELETE ANY CONTENT POSTED ON THE SITES, REGARDLESS OF WHETHER SUCH CONTENT VIOLATES THESE STANDARDS, OR ANY OTHER ACTIONS NECESSARY TO PROTECT COMPONENT.APP, OUR USERS AND THIRD PARTIES.

Please note that violation of these Terms may result in termination in accordance with our termination rights in our agreement with you. You will not be entitled to any credit or other damages or compensation for any interruption of the Services caused by your violation of these Terms.

11. Miscellaneous Provisions

These Terms shall be governed by and construed in accordance with the laws of Singapore. The parties hereto submit to the exclusive jurisdiction of the courts of Singapore.

The Terms set forth herein shall remain effective and shall remain binding upon you until and unless your account has been cancelled or terminated.

Component.app shall not be liable for termination of these Terms. Component.app's right to be indemnified pursuant to the Terms hereof, shall survive any termination of these Terms. Any such termination of these Terms shall not waive or terminate your obligation to pay costs and fees for the use of the Services, as may be applicable, and shall not affect any liability that may have arisen under these Terms prior to the date of termination.

You agree to indemnify, defend, and hold Component.app , its subsidiaries, affiliates, shareholders, directors, employees, agents, service providers, suppliers, subcontractors, successors and assigns, harmless from and against any and all claims, demands, actions, causes of action, damages, costs, and expenses, including reasonable attorney's fees and other expenses of litigation, penalties, fines, damages, and losses, made by any third party due to or arising out of your breach of the Terms stated herein and the documents they incorporate by reference, or by your violation of any law or the rights of a third party.

Component.app may subcontract any part or parts of the Services it provides to you at any time.

Component.app may assign or novate any part or parts of its rights under these Terms without your consent.

The Terms (including the Privacy Policy) and any undertaking You executed in relation thereto, shall constitute the entire agreement between you and Component.app . In the event of any conflict between these Terms and any other term or provision on the Sites, these Terms shall prevail.

If any of the Terms shall be deemed invalid, illegal, or unenforceable, such term or condition shall be deemed not written and the remainder shall continue to be valid and in force.

No delay or failure on the part of Component.app to enforce its rights or remedies under these Terms shall constitute a waiver on its part of such rights or remedies unless such waiver is set forth and confirmed in writing by its duly authorised representatives.

Please note that if you use our Services on behalf of an organization that has registered an account with Us, the Terms of Service and any statement of work applicable to your organization shall prevail over these Terms and shall apply to you.
